Nissan, Honda, And Mitsubishi To Explore Strategic Business Integration

Nissan Motor Co., Honda Motor Co., and Mitsubishi Motors Corporation have signed a memorandum of understanding (MOU) to evaluate the potential for Mitsubishi Motors to join a planned business integration between Nissan and Honda. This collaboration seeks to strengthen synergies in the rapidly evolving automotive landscape, particularly in electrification and intelligent mobility, said a statement from Honda.

The discussions build upon a previous agreement between Nissan and Honda, formalised on August 1, 2023, to establish a joint holding company as part of their strategic partnership. Mitsubishi Motors, which has already been contributing to the framework, will now explore deeper involvement. A decision on its participation is expected by January 2025.

The integration is driven by sweeping changes within the automotive industry, including a shift towards sustainable and connected vehicles, a statement said. Nissan CEO Makoto Uchida expressed optimism about the collaboration, stating that the joint efforts could bring greater value to customers. “The involvement of our partner, Mitsubishi Motors, in these discussions is significant. If the integration materialises, it will enable us to deliver enhanced value across a wider customer base,” he said.

Honda CEO Toshihiro Mibe highlighted the importance of addressing industry challenges collaboratively. “This is a transformative period for the automotive sector, occurring once in a century. Mitsubishi Motors’ participation in these discussions could accelerate social and industrial change, positioning us as leaders in creating new mobility value,” he remarked.

Mitsubishi Motors CEO Takao Kato emphasised the potential for maximising synergies. “Nissan and Honda’s study of integration offers an opportunity to realise high-value collaborative efforts. We aim to explore the best form of cooperation to leverage each company’s unique strengths,” he stated.

The primary objective of the collaboration is to combine resources and expertise in electrification and intelligent mobility, enhancing competitiveness in the global automotive market. Mitsubishi Motors’ involvement could expand the scope of these efforts, ensuring comprehensive synergy-sharing among the three companies.

The integration also reflects the increasing pressures on traditional automakers to innovate and adapt to a market dominated by electrification, sustainability, and digitalisation. Through joint efforts, Nissan, Honda, and Mitsubishi Motors aim to pool resources, streamline operations, and deliver cutting-edge solutions to meet evolving consumer demands.

If the integration proceeds, Nissan and Honda may file a Form F-4 registration with the U.S. Securities and Exchange Commission (SEC). This form would outline details of the share transfer related to the business integration, offering vital information to shareholders of both companies. The form, if declared effective, would be distributed to U.S. shareholders before respective shareholder meetings.

All regulatory documents, including the prospectus, would be accessible on the SEC’s website and available upon request. Shareholders are encouraged to review these materials carefully before voting on the integration proposal.

The announcement represents a significant step towards redefining collaboration within the automotive industry, the statement added. With a decision on Mitsubishi Motors’ participation expected by January 2025, the companies remain committed to exploring new opportunities for innovation and growth.
